A/AA 2017 Annual General Meeting

A Special Resolution to amend the constitution was passed at the 2017 A/AA AGM held on 17 November 2017. 

The current constitution was adopted by A/AA in 2010. From time to time it is appropriate for the Board to undertake a review of the constitution to ensure that it remains current and in line with legislative requirements. Key points outlined in the Information Memorandum include the amendment to reflect the change in company’s name from “Australian Association of Aviation & Aerospace Industries Limited” to “Aviation/Aerospace Australia Limited” along with items relating to when members become non-financial, director tenures and quorum required at Annual General meetings. 

New Constitution: That, for the purposes of section 136(1) of the Corporations Act 2001, the Constitution annexed is approved and adopted as the Constitution of the Company in substitution for and to the exclusion of the existing Constitution which is repealed in its entirety by this resolution.
